Description
Primary business lawyer for Janssen SIMP (Singapore, Indonesia, Malaysia, Philippines) and Janssen Thailand, to be based on-site at a business in Janssen SIMP or Janssen Thailand.
This position will report to the Pharmaceuticals Group Regional Counsel based in Singapore
RESPONSIBILITIES
- As part of the leadership team of five businesses providing legal counsel, strategic guidance and support to Janssen SIMP and Janssen Thailand.
- Responsible for overseeing, negotiating and drafting of various commercial contracts including significant supply, distribution, wholesaler, co-marketing, sales, product licensing, clinical trials, employment and non-disclosure agreements.
- Be able to proactively assess legal risks to the business and work with management to devise and implement policies and procedures to address and manage those risks including preventative actions, trainings and communications.
- Possess the communications and other skills in order to be able to positively influence management to make well considered decisions and achieve compliant growth.
- Provide guidance on and ensure compliance with relevant laws and regulations applicable to the businesses of Janssen SIMP and Janssen Thailand including any relevant industry codes.
- Support new business development initiatives (M&A, licensing and divestiture transactions) including due diligence reviews, negotiation of transaction and drafting/execution of deal documentation.
- Ability to engage and manage outside counsel including providing appropriate budgets for outside counsel and ground rules for the business on when and how to request outside legal services/support.
- Manage all litigation, dispute resolution, and any internal and external investigations related to the business.
- Provide legal input and guidance to the management of Janssen SIMP and Janssen Thailand on all J&J policies and procedures including the Policy on Business Conduct, Foreign Corrupt Practices Act, Deferred Prosecution Agreement, Health Care Compliance and Health Care Business Integrity Guide. This includes advising management on any new policies or required changes to existing policies, creating appropriate training for management and employees on such policies and participating on all disciplinary panels related to J&J’s policies and procedures.
- Provide legal counsel and support on legal issues and risk management for all enabling functions of Janssen SIMP and Janssen Thailand including Human Resources, Operations, Quality, Government Affairs, Research & Development, Supply Chain, Sales, Marketing and Finance (e.g., employment law, procurement, product liability).
- Proactively partner and work with other Johnson & Johnson lawyers in the region/globally to drive knowledge sharing and local alignment with regional and global best practices.
Others activities
- Assist on brand protection initiatives including trademark support and counterfeit & grey market enforcement activities.
- Support development of local clinical trials, market access and reimbursement and new product development and divestitures, if any.
- Advise business on its copy clearance materials, digital marketing strategy, privacy, website and internet-related activities.
- Perform corporate governance functions for the respective Janssen SIMP and Janssen Thailand legal entity including fulfilling all applicable reporting requirements relating to board and shareholders meetings (to the extent required under local law).
Qualifications
REQUIRED
Key Qualifications:
- Juris Doctorate, LLB or equivalent law degree from an internationally recognized law school and a graduate degree from an internationally recognized university.
- License to practice law in US, UK or Australia preferred.
- Fluent in written and spoken English.
- At least 8-12 years of relevant legal experience since qualification - including experience at a well regarded law firm and in-house legal experience at a multi-national corporation, ideally in the United States or United Kingdom and ideally in the Pharmaceutical industry.
- Broad-based commercial and corporate experience and experience sitting on management teams and advising senior management.
Candidates should also possess the following skills and capabilities:
- Self-starter with strong drive for results & strong sense of ownership but also willing to take direction.
- Business Oriented - ability to proactively engage with business to find practical solutions and partner with them to implement desired actions and create compliant growth for the business.
- Judgment capability, business consultative skills, and structural thinking process.
- Ability to work independently and effectively across all levels of a matrixed organization.
- Superior communication skills and proven ability to counsel senior management on complex legal matters and crisis management.
- Ability to work effectively locally while adhering to the policies and practices expected by a multi-national company and in a cross-border environment.
- Comfortable working as part of a matrixed team and keen to interact with diverse group of people spanning a broad range of cultures, business teams and executives within our client organizations.
- Objective thinker who is able to advance ideas and influence others.
- Ability to manage conflicts in an open and constructive manner.
- Able to set an example and ensure high ethical, legal and compliance standards at Janssen SIMP and Janssen Thailand consistent with a multi-national corporation and be proactive in engaging organizations to identify opportunities to enhance ethics and anti-corruption practices and procedures.
- Strong ability to deal with ambiguity and simplify issues for clients.
- Experience doing transactional or cross-border licensing and acquisitions and divestitures.
